The majority of corporate transactions involve real estate, which has a significant impact on value in such transactions.

The Property involvement, requires a true

understanding of the relative importance of the real estate issues to the transaction and an understanding of the client's requirements for the business.

 

Expertise is available from Co-Foundations in the following areas:

 

  • Acquisition documentation, and the importance and role of Property Warranties
     
  • Due diligence procedures and enquiries relating to title
     
  • Cross-border issues relating to retail property and leasing
     
  • Detailed understanding of the financial implications and obligations relating to the leasehold and freehold estate, and quantifying the risk of any contingent liabilities.


In addition to this, supporting to develop a Corporate Real Estate Strategy for the integration phase. In particular:

 

  • Conducting a Property Audit to review the property holdings
     
  • Developing a Strategic Real Estate Plan which will free up management time and deliver real value to the shareholders
     
  • Implementing that Plan, whether it involves disposals, leasebacks, securitisation or outsourcing.


Specific examples of managing all property aspects of such Corporate transactions include:

 

  • Numerous Retail and Telco corporate transactions (share & asset deals) in various European markets, including the acquisition by CPW Plc of AOL (£370m) and more recently Tiscali (£230m). 
     
  • Following the takeover of Sears Plc, worked closely with Philip Green to achieve the objective of maximising value from the break up and sale of the various assets including the sale of Shoe City to Brantano, the sale of Adams Childrenswear by way of an MBO and the sale of Wallis, Miss Selfridge and The Outfit to Arcadia.
